Background

Creditinfo is strengthening its Legal department and is looking for a highly motivated, experienced Legal Counsel.

Responsibilities

The Legal Counsel will report to and assist the Creditinfo Group General Counsel and is responsible for all legal matters for Creditinfo Group and its subsidiaries. Working closely with all legal departments within the group of companies, yet primarily providing support within the Creditinfo Shared Services team. All local legal representatives will have a dotted reporting line to the General Counsel and Legal Counsel. Working in a dynamic international team across different global markets. Travel is also anticipated from time to time (travel approx. 10% of working time).

The Legal Counsel will play a central role at Creditinfo keeping our everyday operations running like clockwork, by being responsible for, but not limited to, the following activities related to international law, commercial law, corporate law, copyright law, data protection law, intellectual property issues, litigation, employment matters, regulatory matters, compliance, and contract negotiation.

  • Provide clear, accurate and responsive legal advice to Creditinfo executive and senior managers on a broad range of areas including corporate, commercial, contract, data protection, and intellectual property law.
  • Work collaboratively with Creditinfo executive and senior managers on business development and commercialization opportunities including by providing advice on suitable business structures, licensing and management arrangements.
  • Assist the General Counsel in monitoring and reviewing all legal aspects of Creditinfo’s practices and operations and make recommendations concerning changes in established Creditinfo policies and procedures. Develop and implement strategies to improve the efficiency and effectiveness of all legal matters within the Creditinfo Group.
  • Instruct, manage and supervise internal legal teams at local offices.
  • Collect legal documents (inter alia for notarization, apostille or other certification), and follow-through with internal and/or external stakeholders.
  • Build strong relationships and effectively collaborate with business colleagues, other in-house legal departments and outside counsel to ensure value for money targeted advice and help scale the delivery of legal services.
  • Make budgetary recommendations and assist in the preparation of Creditinfo Group Legal departmental budget.
  • Oversee and manage the Company’s various contracts activities that deal with customer contracts as well as vendor/supplier relationships and subcontractors.
  • In collaboration with other Department heads, develop and monitor Company performance of the compliance activities of the Company, government certifications, as well as compliance with the policies of the Company’s business partners and customers.
  • Work with regulatory and legislative entities and represent Creditinfo in administrative and legal proceedings as required, including acting as the contact point for the supervisory authority on issues related to the processing and consulting with the supervisory authority, if appropriate, on his/her own initiative.
  • Maintain a library of legal precedent agreements.
  • Represent the Legal Dept. at conferences, meetings, and events.
  • Manage corporate legal process, developing company policy, guidance in corporate compliance implementation, in assisting stakeholders for implementing plan and measures consistent with the compliance policy and in liaising with a relevant supervisory authority;
  • Conduct legal research and communicate findings and recommendations on various legal problems.
  • Provide legal support and/or interpretations on labor law, discrimination complaints, grievance processes and create standard templates for contracts of employment.
  • Apply a broad business perspective to legal analysis to devise innovative solutions that meet client needs internally and externally.
  • Manage competing priorities in a fast-paced, demanding environment, and exercise sound judgment while working autonomously.
  • Draft, review and negotiate commercial and transactional agreements (credit information service agreement, scorecards and professional service agreement, software license agreement, collection service agreement, business info service agreements), IT agreements (outsourcing agreements, hosting agreements, web service agreements, software license agreement, EULA, maintenance agreements); formulating and drafting legal papers, opinions, recommendations, standard and guidelines; providing assistance and advice on all regulatory, corporate and contractual matters.
  • Coordinate activities with cross-functional teams through the contract process from opportunity assessment through contract negotiation, signing and post-signing activities; representing the company at the roundtable of negotiations or at meetings with the public national and international authorities; cooperating with the business and working groups for optimizing legal support to the business.
  • Manage trademarks, patents and other intellectual property rights: filling of applications worldwide, cooling-off period arrangements/agreements, patent search and analytics, warning letters, file lawsuits against third parties; draft copyright disclaimers and copyright guidelines for the company’s products and services documentation and the related guidelines for using and displaying the company trademarks.
  • Analyze and exchange information on the current status of IPR protection systems, as implemented in the company and its affiliates and studying measures for the effective enforcement of IPR and identifying opportunities to innovate and improve IP policies and procedures and relevant business segments’ IP strategy.
  • Review existing Data Protection Framework and identifying areas of non and partial compliance, drafting and studying measures for the effective enforcement of privacy policy and security; providing guidance and assists in the implementation and maintenance of company information privacy policies and procedures with and assists the business and technology areas to develop corrective action plans for identified privacy compliance issues, working with management, key departments and committees to ensure that the maintenance of appropriate privacy and confidentiality information notices and materials reflecting the practices and requirements identified; resolve ad-hoc queries and issues relating to data protection, drafting where required new Data Protection Policy, procedure and guidance and define a training program for staff on data protection and information security.
  • Manage special projects’ legal support, specifically due diligence process and reporting; negotiation and drafting M&A contractual documents (share purchase agreement and part of the enterprise purchase agreement and all the other co-related agreements as noncompetition covenants, employee’s agreement), corporate documentation (an article of association, PoA).
  • Monitor national and European legal framework of credit information register, consumer directive, payment directives, liaising with the relevant Business Managers for ensuring understanding with the company’s policies.

Candidate Requirements:

Mandatory

  • Good command, both written and verbal, of the English language.
  • Minimum of 3 years knowledge and experience in a similar role
  • Be based and eligible to work in Barcelona/Castelldefels, Spain.
  • Independent worker – proven record of working without supervision.
  • Excellent analytical and problem-solving skills.
  • Ability to collaborate and influence at all levels within a multicultural organization both internally and within client organizations.
  • A flair for delivering effective presentations.
  • University Degree or qualifications in relevant discipline
    Highly Desirable
  • Experience in Credit Bureau, Risk Analytics or wider Financial Service Industry.
